SANTA MARGARITA YACHT CLUB

OF CAMP PENDLETON CALIFORNIA

CONSTITUTION

 

ARTICLE I

This organization shall be known as the Santa Margarita Yacht Club of Camp Pendleton, California. 

ARTICLE II

The objective of the Club is to encourage and foster recreational and competitive boating, promote water safety, seamanship, piloting, and navigation within the Southern California area.

ARTICLE III

The elective officers of the Club shall be a Commodore, Vice-Commodore, Rear-Commodore, Secretary, and Treasurer, and shall be known as Flag Officers. In the absence of the Commodore the Vice-Commodore, Rear-Commodore, Secretary, and Treasurer, in the order named, will act for the Commodore.  Officers must reside within Southern California, where they can attend meetings. 

ARTICLE IV

Duties of Officers

Commodores

SECTION 1 - Commodore

It shall be the duty of the Commodore to take command of the Club:  to preside at all meetings and to enforce the rules and regulations of the Club.  He shall enforce all provisions regarding the conduct of various officers of the Club, the conduct of the Club members, and the general provisions for the welfare of the Club.  He shall call special meetings of the Club Board of Directors whenever he shall deem it necessary, or upon written request of five percent of the voting members in good standing. The Commodore shall be an ex-officio member of all committees. 

SECTION 2 – Vice-Commodore

It shall be the duty of the Vice-Commodore to assist the Commodore in the discharge of his duties and to officiate in his absence. 

SECTION 3 – Rear-Commodore

It shall be the duty of the Rear-Commodore to assist the Commodore and the Vice-Commodore in the discharge of their duties and to officiate in their absence.

Secretary

SECTION 4 - Secretary

It shall be the duty of the Secretary to keep the minutes of the meetings in a book provided for that purpose, to have custody of all records and documents connected with the proceedings of the Club, and to keep correct rolls of members. The Secretary shall maintain and periodically publish a history of the Club, conduct correspondence for the Club and issue notices of meetings.

Treasurer

SECTION 5 - Treasurer

It shall be the duty of the Treasurer to supervise the collection and disbursement of all Club Funds.  He shall be generally responsible for the safeguarding and security of all Club funds and securities. He shall have prepared an annual budget and submit each budget to the Board of Directors for approval.  He shall present a written statement of the financial position of the Club at each meeting or upon his departure should he leave prior to the annual election. 

ARTICLE V

Directors

The government of the Club shall be vested in a Board of Directors composed of the Commodore, Vice-Commodore, Rear-Commodore, Secretary, Treasurer, past Commodores as available, and at least three others, all members in good standing who will be elected by membership. 

ARTICLE VI

Duties and Powers  of the Board of Directors

Subject to the general action by the Club, the Board of Directors shall have final authority in the management of the affairs and finances of the Club, and shall have special control of all its property. All rights and powers connected therewith shall be vested in them. The Board shall approve the budget submitted by the Treasurer.  They shall appoint all special Officers. They shall inquire into the standing and character of candidates, and elect to membership of the Club such as they may consider desirable.  Such election must be by unanimous vote of the Members of the Board present at its regular meeting. They shall hold a regular meeting each month, and four shall constitute a quorum.  They shall fill vacancies occurring in their number or fill vacancies among the Officers of the Club which shall hold good until the next general meeting. The Board of Directors shall approve all bills and expenditures of major capital outlays. They shall appoint such committees from time to time as may deem for the best interest of the Club.

Audit

The Board of Directors shall appoint the auditors and make available to such auditors the statements, books and records to be reviewed.  Auditors shall have access to the books and records of the Secretary and Treasurer at all reasonable times throughout the fiscal year. They shall prepare the appropriate auditors’ opinion concerning the annual report of the Treasurer. 

ARTICLE VII

Election of Officers and Board of Directors

All elective Officers and Board of Directors shall be elected at the annual meeting of each year, and shall hold office until their successors are elected. 

The Nomination Committee shall be composed of such members in good standing as the Board of Directors may select.  The Nomination Committee shall propose and post on the Club bulletin board a slate of Officers and five Directors prior to election. Additionally, any voting member in good standing can propose a nomination for one or more Officers and/or Directors from the floor prior to election. Election shall be by majority of ballots cast by eligible members present. A voting member is any member over the age of 17 with a limitation of 2 voting members per family. When a member cannot attend a voting meeting, he or she may be allowed to vote by a written letter to any Board Member prior to the meeting, or he may request a proxy vote by any Member of the Board on his or her behalf

ARTICLE VIII

Meetings

SECTION 1

There shall be three business meetings each year - the Annual Meeting in October,  the Semi-Annual Meeting in April, and the General Meeting with Nominations of Officers in August or September.

SECTION 2

Special meetings may be called by the Commodore or by the Board of Directors whenever they think it necessary or at the written request of at least five percent of the voting members at which meetings no other business than stated in the call shall be considered. 

SECTION 3

General meetings consisting of dinners, informal get-togethers or seminars may be held monthly. 

SECTION 4

Activities of the Club will not in any way prejudice or discredit DOD Components or other agencies of the Federal Government. 

Quorum

SECTION 5

Nine members shall constitute a quorum and in the absence of the elected Flag Officers or Directors, the senior Flag member present shall preside.

ARTICLE IX

Board Pennants

The Commodore’s pennant shall be rectangular in shape, having a fouled anchor and thirteen stars in white on an all blue field. The Vice-Commodore’s flag will be the same as the Commodore’s substituting red for the blue field.  The Rear-Commodore’s flag shall carry a similar pennant, except that the field shall be white with red stars. 

The Staff Commodore’s pennant shall be specified by the Pacific Coast Yachting Association and the Southern California Yachting Association.

ARTICLE X

Club Burgee

The signal flag of the Club shall be a pennant with a blue field and a gold horizontal stripe running from the hoist to the point, containing a crimson Rancho Santa Margarita cattle brand. 

ARTICLE XI


An amendment to the Constitution must be carried by a two-thirds vote of the voting members present at a regular or called meeting of the Club, and notice of the proposed amendment must be stated in the call of the meeting.  The signature of two-thirds of the voting members of the Club shall render valid any amendment of which due notice has been given. 

ARTICLE XII

Dissolution

In the event of the dissolution of this organization, known as the Santa Margarita Yacht Club of Camp Pendleton, California, all properties and remaining funds shall be disposed of as determined by a two-thirds vote of the Board of Directors.
